End User License Agreement
IMPORTANT — READ CAREFULLY: This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "You", "User") and ClubFoundry ("Company", "We", "Us") for the use of ClubFoundry software application, including any associated media, documentation, and updates ("Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.
1. Definitions
"Software" means the ClubFoundry application, including backend server component, web-based frontend interface, associated configuration files, documentation, and any updates or patches provided by the Company.
"Free License" means the license granted to use the Software without charge, subject to functional limitations as described in Section 3.
"Commercial License" (Pro, Enterprise) means the paid license granting additional functionality and increased usage limits as described in Section 3.
"Instance" means a single installation of the Software on a single server or container environment, identified by a unique Instance ID.
"Managed PC" means a client computer whose iSCSI LUN publication is actively managed by the Software.
"License Key" means the alphanumeric code provided by the Company to activate a Commercial License.
"TrueNAS" means the TrueNAS SCALE operating system developed by iXsystems, Inc., which is required to run the Software.
2. License Grant
Free License. Subject to the terms of this Agreement, the Company grants You a non-exclusive, non-transferable, revocable, worldwide license to install and use one Instance of the Software free of charge, subject to the limitations set forth in Section 3.
Commercial License. Upon purchase of a Commercial License and receipt of a valid License Key, the Company grants You a non-exclusive, non-transferable license to use one Instance of the Software with the capabilities and limits associated with Your purchased license tier, for the duration of the license term.
Scope. Each License Key is valid for one Instance only. You may not use a single License Key on multiple Instances simultaneously. If You need to migrate to a new server, You may deactivate the License Key on the old Instance and activate it on the new Instance.
3. License Tiers and Limitations
Free License permits management of up to ten (10) Managed PCs and three (3) ZVOLs. All core features of the Software are available. The Free License includes mandatory anonymous telemetry (Section 9).
Pro License permits management of Managed PCs and ZVOLs up to the limits specified in the purchased license, and includes email/chat support during the license term.
Enterprise License permits management of an unlimited number of Managed PCs and includes priority support and dedicated assistance during the license term.
The Company reserves the right to modify the features and limitations associated with each license tier. Such changes will not reduce the capabilities of an active Commercial License during its paid term.
4. Restrictions
You may NOT:
- Distribute, sublicense, rent, lease, or lend the Software or License Keys to any third party.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
- Modify, adapt, or create derivative works based on the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
- Use the Software to provide managed services, hosting, or any form of service bureau to third parties.
- Circumvent, disable, or interfere with any license verification, usage limitation, or security features of the Software.
- Share, publish, or transfer License Keys to any third party.
- Use the Free License for commercial purposes involving more than ten (10) Managed PCs without purchasing an appropriate Commercial License.
5. Intellectual Property
The Software is protected by copyright laws and international treaty provisions. The Company retains all right, title, and interest in and to the Software, including all intellectual property rights therein.
This Agreement does not grant You any rights to the Company's trademarks, service marks, or trade names.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
INFRASTRUCTURE DISCLAIMER: THE SOFTWARE MANAGES iSCSI TARGETS, ZFS DATASETS, AND RELATED STORAGE INFRASTRUCTURE ON YOUR TrueNAS SERVER. WHILE THE SOFTWARE IS DESIGNED WITH SAFETY MECHANISMS TO PREVENT DATA LOSS, THE COMPANY DOES NOT GUARANTEE THAT SUCH MECHANISMS WILL BE EFFECTIVE IN ALL CIRCUMSTANCES. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING ADEQUATE BACKUPS.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS.
Commercial License Users: Total aggregate liability shall not exceed the fees paid during the twelve (12) months preceding the claim.
Free License Users: The Software is provided entirely at Your own risk. The Company accepts no liability whatsoever for any damages arising from use under a Free License.
8. Data and Infrastructure Responsibility
You are solely responsible for the data stored on Your TrueNAS server. You are strongly advised to maintain regular backups. The Software stores API credentials locally and does not transmit them to the Company or any third party.
9. Telemetry and Data Collection
The Software may collect anonymous usage data including: application version, TrueNAS version, aggregate counts of managed resources, and license status. Telemetry does NOT include API keys, passwords, user credentials, dataset names, file contents, or IP addresses.
For Free License users, Telemetry is mandatory. For Commercial License users, Telemetry may be disabled in Settings.
10. Support and AI-Assisted Services
Support may be provided in whole or in part by artificial intelligence (AI) systems. AI-assisted support is provided for informational purposes only. You should never execute commands or modify infrastructure solely based on AI-generated recommendations without independently verifying them.
11. Updates
The Company may provide updates at its sole discretion. The Company reserves the right to discontinue support for older versions and to issue version recalls for critical defects.
12. Term and Termination
Free License: Effective until terminated by either party. Company may terminate with 30 days notice.
Commercial License: Effective for the purchased term, auto-renews unless cancelled.
Upon termination of a Commercial License, the Software reverts to Free License functionality. Your data and configurations remain intact.
13. Refund Policy
Monthly: Cancel anytime, no refund for current period. Annual: Full refund within 14 days if not activated. Prorated refund (minus 20% fee) within 60 days after activation.
14. Governing Law
This Agreement shall be governed by the laws of England and Wales. Disputes shall first be resolved through good-faith negotiation for 30 days, then submitted to the courts of England and Wales.
15. General Provisions
This Agreement constitutes the entire agreement between You and the Company. If any provision is unenforceable, the remainder continues in effect. The Company may modify this Agreement; continued use constitutes acceptance.
